Fina hypothesis that attempts to explain elements of organizational behavior through an understanding of the relationships between principals (such as shareholders) and agents (such as company managers and accountants). A conflict may exist between the actions undertaken by agents in furtherance of their own selfinterest, and those required to promote the interests of the principals. Within the hierarchy of firms, the same goal incongruence may arise when divisional managers promote their own self-interest over those of other divisions and of the company generally. -

Издержки посредничества
Издержки неэффективности управления. Например, нанятый компанией посредник (агент) или работник вполне может преследовать свои собственные цели, не совпадающие с интересами собственника. Туристическая компания может продать вам более дорогие билеты, чтобы получить более высокое комиссионное вознаграждение, а высокопоставленный менеджер может принять неэффективное решение или даже сфальсифици ровать бухгалтерскую отчетность (accounting fraud), что способно нанести ущерб компании и ее акционерам. Подобные действия явились причиной краха в 2002 г. американских компаний Энрон и УолдКом. В такой ситуации собственник компании вынужден отслеживать и контролировать работу посредников, на что тратятся дополнительные средства. См.
